ARTWORK RELEASE & LICENSE AGREEMENT
1. Grant of License
By submitting artwork, designs, or related materials (“Artwork”) to Lagersmith, LLC (“Company”) for the Aluminate Awards (“Contest”), the submitting individual or entity (“Entrant”) grants Company a non-exclusive, worldwide, perpetual, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, publicly display, and create derivative works from the Artwork.
2. Permitted Uses
Without limiting the generality of Section 1, Entrant specifically agrees that Company shall have the right to:
a. Print, apply, and manufacture the Artwork onto cans, packaging, labels, or merchandise for promotional, marketing, or commercial purposes.
b. Reproduce and display the Artwork in online and offline promotional materials, including but not limited to social media, websites, print advertising, press
releases, media kits, and point-of-sale displays.
c. Edit, resize, format, or adjust the Artwork as necessary for manufacturing, printing, or media display specifications.
3. Ownership & Moral Rights
Copyright Ownership: Entrant retains copyright ownership of the submitted Artwork, subject to the license granted herein.
Moral Rights: To the fullest extent permitted by law, Entrant waives or agrees not to assert any “moral rights,” rights of attribution, or integrity regarding the Artwork in connection with the permitted uses described in this Release.
Credit: Company will make reasonable efforts to credit the Entrant/artist where commercially feasible, but failure to do so shall not constitute a breach of this Release.
4. Representations and Warranties
Entrant represents, warrants, and attests that:
Originality & Human Authorship: The Artwork is entirely original, created solely through human artistic authorship, and was not generated, created, or assisted in whole or in part by artificial intelligence (AI) tools or generative AI technologies.
Prior Commercial Use: The Artwork has been used in active commercial distribution, marketing, sale, or trade at least once during the 2026 calendar year prior to submission to this Contest.
Ownership & Third-Party Rights: Entrant is the sole author and owner of the Artwork (or has secured all necessary rights, licenses, and permissions from any third parties) and has full authority to grant the rights set forth herein.
Non-Infringement: The Artwork does not infringe upon, misappropriate, or violate any patent, copyright, trademark, trade secret, privacy right, publicity right, or other intellectual property or proprietary right of any third party.
Lawfulness: The Artwork does not contain libelous, defamatory, or unlawful material.
5. Indemnification
Entrant agrees to defend, indemnify, and hold harmless Company, its affiliates, officers, directors, employees, agents, and sublicensees from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to a breach of any representations, warranties, or attestations made by Entrant in this Release.
6. Consideration
Entrant acknowledges and agrees that participation in the Contest and the opportunity for public exposure and promotional consideration constitute full and adequate consideration for the rights granted under this Release, and that no royalties, fees, or additional payments shall be due to Entrant.
7. General Terms
This Agreement shall be governed by and construed in accordance with the laws of Minnesota, without regard to its conflict of law principles. This Agreement constitutes the complete understanding between the parties regarding the subject matter hereof.
